Terms of Service
These terms govern how we build your website for free, when the monthly subscription starts, and what each of us is responsible for. Please read them carefully.

1. Definitions & Identification
These Terms of Service (the “Terms”) are an agreement between SV HUB S.R.L., a Romanian company registered under CUI RO51977418, with its registered office at Ielelor, Nr. 16, Ap. 1, Moșnița, Timiș County, Romania, operating under the brand Vladier through the website vladier.com (“Vladier”, “we”, “us”, or “our”), and you, the business or individual ordering our services (the “Client”, “you”, or “your”).
- “Website” means the website we design, build, host, and maintain for the Client under these Terms.
- “Services” means the web design, web development, basic on-page SEO, hosting, and maintenance services we provide, as described in Section 2 and in the plan you select.
- “Subscription” means the monthly plan (Starter or Growth) the Client selects after approving the finished Website.
You can reach us at contact@vladier.com. You accept these Terms when you request a website build through our form (which links to these Terms), and again, explicitly, when you approve your Website and start a Subscription through our checkout.
2. Services Offered
Vladier provides the following services:
- Website design and build: a fast, mobile-friendly website for your business, built on our proven foundation for home service businesses and adapted to your services, service area, wording, and photos.
- Basic on-page SEO: correct technical structure, page titles and descriptions, local business details, and fast loading, included in every plan.
- Branding basics: we use your existing logo and colors, or set up a simple text-based wordmark if you don't have a logo. Full logo design is not included.
- Hosting & Maintenance: hosting, SSL, DNS setup and management for the domain you own, and ongoing maintenance, included in the monthly Subscription per your plan.
- Growth plan extras: Google Business Profile setup and monthly updates (with your access and approval), a review request kit, and a monthly report, as described on our pricing page.
We do not build online stores, booking systems, or custom web applications, and we do not provide professional photography.
3. Collaboration Process & Client Responsibilities
To allow us to build and maintain the Website, the Client agrees to:
- provide, in a timely manner, the content, materials, information, and access reasonably needed for the project (text, images, business details, existing accounts or credentials where relevant);
- ensure they have the legal right to use all materials they provide (texts, images, logos, trademarks) and that these do not infringe third-party rights;
- respond promptly to our requests for feedback, review, and approval;
- use the Website and our Services in compliance with applicable law.
Delays in providing content or feedback may extend build and delivery timelines accordingly.
4. Business Model: Free Build + Monthly Subscription
Our core model is simple: we build your Website first, for free. You are not charged anything, and no payment details are requested, while the Website is being designed and built. Payment begins only when you approve the finished Website and choose a monthly plan. If you never approve the Website, you never pay anything.
Once you approve the Website and select a plan, the monthly Subscription starts, as described in Sections 5 and 7.
5. Build, Revisions & Approval
We deliver your finished Website on a private, non-public link. Before approval, you may request up to 3 rounds of revisions, free of charge. You may also walk away at any time before approval, for any reason, with no payment and no obligation of any kind.
Approval is always explicit:your Subscription starts only when you tell us you approve the Website and complete checkout. Silence never counts as approval. If we don't hear back within 30 days of delivering the latest version, we archive the project at no cost to you; just write to us if you want to pick it back up later.
6. AI Disclosure
Vladier uses artificial intelligence tools as part of its build process, including for code generation, copywriting, design, and optimization work. Everything we deliver is reviewed and finished by a person. The Client understands that AI-assisted output may still need adjustments and agrees to flag anything that needs correction during the revision phase (Section 5) or afterwards through the edits included in the plan.
7. Subscription Term, Billing & Cancellation
Term: the Subscription is billed monthly, in advance, by card through our payment processor, at the rate of the plan you selected. Each Subscription has a minimum term of 3 months from the start date. After the minimum term, it renews automatically month to month until cancelled.
Cancellation: after the minimum term, you may cancel at any time by sending written notice by email to contact@vladier.com. The cancellation takes effect at the end of the current monthly billing period, with no cancellation fee. If you cancel during the minimum term, the remaining months of the minimum term are still due. Amounts already paid are not refunded.
We will confirm your cancellation and the exact end date by email, so you always know when the Subscription stops.
8. Late Payment & Suspension
If a monthly payment fails, you have a grace period of 30 calendar days to bring your account current before the Website and Services are suspended. During the grace period the Website stays online and we will attempt to contact you. If the outstanding balance is not settled within the grace period, we may suspend the Website and related Services. Service is reactivated once all outstanding amounts are paid.
9. Service Discontinuation & Insolvency
If Vladier ceases operations, becomes insolvent, or enters bankruptcy, we will make reasonable efforts to notify active Clients at least 30 calendar daysbefore shutting down hosting or access to the Website, so you have time to migrate your Website elsewhere. Where such advance notice is not possible (for example, due to a court order, the action of a liquidator or court-appointed administrator, or other circumstances beyond Vladier's control in a formal bankruptcy or insolvency proceeding), this notice period may be shortened or unavailable, and the Client's rights in that scenario will be governed by applicable bankruptcy or insolvency law rather than by this section.
10. Cancellation, Data & Backup Retention
Upon cancellation or termination of the Subscription, whether by your cancellation (Section 7) or following an uncured suspension (Section 8), the Client will have access to a backup of the Website's content for 30 days from the date of termination. To request your backup, email contact@vladier.com within that window. After the 30-day period, the data may be permanently deleted.
11. Intellectual Property, Domain & Ownership
From your first paid month, the Website's design, code, and content created for you become your property. Before that, the Website remains a free concept owned by Vladier. Content you provide (your text, photos, logo, and trademarks) is always yours. We do not hold your site hostage or tie ownership to years of payments.
You register and own your domain directly, in your own account with the registrar of your choice. Vladier never purchases, holds, or controls your domain registration. During the Subscription, you point your domain's DNS (nameservers) to Vladier, and we manage the DNS records on your behalf, with your consent, so everything keeps working without you having to touch the technical side. Because the domain registration itself always stays entirely with you, there is nothing to transfer on cancellation: you simply point your DNS elsewhere.
Free export:once the minimum term is complete, you may request a complete export of the Website's code and content, with basic deployment instructions, free of charge, at any time during your Subscription and for 30 days after it ends. We deliver it within 5 business days of your request. Installing or activating it with another hosting provider is your (or your new provider's) responsibility.
Vladier retains ownership of its pre-existing tools, libraries, internal frameworks, and know-how used to build the Website; you receive everything needed for your Website to function and be maintained independently.
12. Warranty, Support & Maintenance
Ongoing maintenance is included in every plan. Monthly edit time and support level depend on the plan you selected:

“Edits” are changes to the existing Website, such as updating text, photos, hours, prices, services, or service areas. Typical small edits take a few minutes each. Unused time does not carry over. New pages or larger changes beyond your plan's monthly time can be quoted and agreed separately before any work is performed. “Business day” means Monday to Friday, US Eastern time, excluding US federal holidays.
13. No Guarantee of Results
While we build every Website with SEO fundamentals and performance in mind, Vladier does not guarantee any specific search engine ranking, traffic level, lead volume, or sales result. Search engines, markets, and audiences are outside our control.
14. Third-Party Services & Components
The Website and Services rely on third-party providers such as hosting infrastructure, domain registrars, payment processors, and external tools or APIs. Vladier is not responsible for outages, interruptions, policy changes, or pricing changes of these third parties. Where a third-party issue affects your Website, we will make reasonable efforts to mitigate it or propose an alternative.
15. Limitation of Liability
To the maximum extent permitted by applicable law, Vladier's total aggregate liability arising out of or related to these Terms or the Services is limited to the amount of fees actually paid by the Client in the 3 months preceding the event giving rise to the claim.
To the maximum extent permitted by law, Vladier shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.
The Services and the Website are provided “AS IS” and “AS AVAILABLE”, without a guaranteed uptime SLA. Some states do not allow certain limitations of liability, so parts of this section may not apply to you.
16. Content You Provide & Mutual Indemnity
You are responsible for the materials you provide (text, photos, logos, trademarks, license numbers, and claims about your business) and confirm you have the right to use them. You agree to indemnify Vladier against third-party claims arising from those materials. Vladier is responsible for the materials it selects or creates for the Website (such as stock images and fonts, which we use only under valid licenses) and agrees to indemnify you against third-party claims arising from those materials.
17. Website Accessibility
As a standard build practice for all clients, Vladier makes reasonable accessibility efforts, including image alt text, keyboard navigability, and adequate color contrast. However, Vladier does notguarantee full compliance with the ADA, WCAG, or any other accessibility standard or regulation. The Client remains responsible for the delivered Website's final compliance with the legal obligations specific to the Client's business, industry, and jurisdiction.
18. Force Majeure
Neither party is liable for failure or delay in performing its obligations (except payment obligations already due) caused by events beyond its reasonable control, including natural disasters, war, acts of terrorism, labor disputes, government actions, internet or utility failures, or widespread outages of critical third-party infrastructure. The affected party will notify the other and resume performance as soon as reasonably possible.
19. Data Protection & Privacy
Our collection and use of personal information is described in our Privacy Policy, which is designed to comply with the California Consumer Privacy Act as amended by the California Privacy Rights Act (CCPA/CPRA) and other applicable U.S. privacy laws.
20. Consumer Protection
If you believe we have treated you unfairly, please contact us first at contact@vladier.com. We take complaints seriously and aim to resolve them directly. You also have the right to file a complaint with the Federal Trade Commission (FTC) or with your state's consumer protection agency.
21. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, for material changes affecting active Subscriptions, we will notify you by email before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
22. Governing Law & Dispute Resolution
These Terms are governed by the laws of Romania, without regard to conflict-of-law rules. The parties will first attempt to resolve any dispute amicably through direct negotiation. If a dispute cannot be resolved amicably, any dispute arising from these Terms or your use of Vladier’s services will be subject to the exclusive jurisdiction of the competent courts of Romania, unless applicable law grants you the right to bring a claim in another forum.
